1. Con\u00adclu\u00adsion of con\u00adtracts<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

Con\u00adtracts with IDEENHAUS come into effect when con\u00adfirmed in writ\u00ading. Sub\u00adse\u00adquent mod\u00adi\u00adfi\u00adca\u00adtions to con\u00adtracts must be con\u00adfirmed in writ\u00ading by IDEENHAUS. The Client\u2019s terms and conditions that devi\u00adate from these Terms and Conditions are not recog\u00adnised and do not form part of this con\u00adtract.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

2. Advertising place\u00adment orders<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

Advertising place\u00adment orders are con\u00adclud\u00aded under the advertiser\u2019s terms and conditions and price lists, unless express\u00adly agreed oth\u00ader\u00adwise. IDEENHAUS under\u00adtakes to agree the largest pos\u00adsi\u00adble dis\u00adcount with the adver\u00adtis\u00ader in each case. In the event of agree\u00adments on volume dis\u00adcounts and series dis\u00adcounts, an addi\u00adtion\u00adal charge, due imme\u00addi\u00adate\u00adly, shall be levied against the Client in the event this agree\u00adment is not sat\u00adis\u00adfied. IDEENHAUS must ensure that the advertising media are broad\u00adcast as con\u00adtract\u00aded. How\u00adev\u00ader, IDEENHAUS shall not be liable for defects in the broad\u00adcast. IDEENHAUS is nev\u00ader\u00adthe\u00adless enti\u00adtled to assert any claims from the Client against the adver\u00adtis\u00ader. IDEENHAUS accepts no lia\u00adbil\u00adi\u00adty for place\u00adment orders given by tele\u00adphone.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

3. Remu\u00adner\u00ada\u00adtion<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

Remu\u00adner\u00ada\u00adtion is either agreed on a project-by-project basis or as a per\u00adcent\u00adage of the budget or broad\u00adcast\u00ading sum. The over\u00adar\u00adch\u00ading ser\u00advices to be ren\u00addered by IDEENHAUS in exchange for these sums must be detailed in writ\u00ading. Travel costs, sub\u00adsis\u00adtence and accom\u00admo\u00adda\u00adtion costs, pho\u00adtog\u00adra\u00adphy out\u00adside the agency, model costs, trans\u00adport costs, mate\u00adr\u00adi\u00adal costs, etc., shall be invoiced sep\u00ada\u00adrate\u00adly.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

4. Prices<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

All prices are given net, plus value-added tax at the statu\u00adto\u00adry rate. Prices listed in a quo\u00adta\u00adtion shall only become bind\u00ading when a con\u00adtract is con\u00adclud\u00aded. In the event of salary increas\u00ades and notice\u00adable cost increas\u00ades in the inter\u00adim, IDEENHAUS is enti\u00adtled to increase the quoted prices accord\u00ading\u00adly, pro\u00advid\u00aded more than four months pass between the con\u00adtract being con\u00adclud\u00aded and the ser\u00advice being pro\u00advid\u00aded. In the event of advertising place\u00adment, the prices given in the applic\u00ada\u00adble price lists for the adver\u00adtis\u00ader shall auto\u00admat\u00adi\u00adcal\u00adly become part of this con\u00adtract. IDEENHAUS reserves the right to charge the Client for changes or errors in prices on the part of the media house.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

5. Terms of deliv\u00adery<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

Deliv\u00ader\u00adies shall be made ex works from IDEENHAUS\u2019s premis\u00ades, unless agreed oth\u00ader\u00adwise. Lia\u00adbil\u00adi\u00adty shall pass from IDEENHAUS to the Client fol\u00adlow\u00ading deliv\u00adery. IDEENHAUS accepts no lia\u00adbil\u00adi\u00adty for dam\u00adages aris\u00ading from postal delays. In the event of fail\u00adure to comply with the agreed deliv\u00adery dead\u00adline, IDEENHAUS shall not accept any lia\u00adbil\u00adi\u00adty for cir\u00adcum\u00adstances that are not attrib\u00adut\u00adable to IDEENHAUS. This applies, in par\u00adtic\u00adu\u00adlar, in instances of force majeure (e.g. weath\u00ader-relat\u00aded vio\u00adla\u00adtions, for pho\u00adtog\u00adra\u00adphy and film orders, etc.). No-fault issues relat\u00ading to delays in deliv\u00adery shall not release the Client from its pay\u00adment oblig\u00ada\u00adtion.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

6. Agency ser\u00advices<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

The agency ser\u00advices ren\u00addered are only avail\u00adable to the Client for the agreed advertising pur\u00adpose. Beyond this, a sep\u00ada\u00adrate agree\u00adment is to be made in each instance with respect to the scope, tem\u00adpo\u00adral and geo\u00adgraph\u00adi\u00adcal usage and cor\u00adre\u00adspond\u00ading remu\u00adner\u00ada\u00adtion. The indi\u00advid\u00adual items in the con\u00adtract are to be set out in writ\u00ading and detailed in sep\u00ada\u00adrate con\u00adtrac\u00adtu\u00adal doc\u00adu\u00adments. The trans\u00adfer of rights to the Client is depen\u00addent on the agreed remu\u00adner\u00ada\u00adtion being paid in full.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

7. Copy\u00adright, exploita\u00adtion and usage rights<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

If work prod\u00aducts are cov\u00adered by copy\u00adright, the fac\u00adtu\u00adal and geo\u00adgraph\u00adi\u00adcal scope of the usage exploita\u00adtions \u2013 such as repro\u00adduc\u00adtion, dis\u00adsem\u00adi\u00adna\u00adtion, trans\u00admis\u00adsion rights and the like \u2013 shall be set out indi\u00advid\u00adu\u00adal\u00adly in the con\u00adtract. Such exploita\u00adtion shall be offset by the agreed remu\u00adner\u00ada\u00adtion. A sep\u00ada\u00adrate fee must be paid in each instance for exploita\u00adtion extend\u00ading beyond this. If an exclu\u00adsive right of use is to be grant\u00aded, this pro\u00advi\u00adsion must be express\u00adly agreed sep\u00ada\u00adrate\u00adly, with the remu\u00adner\u00ada\u00adtion for this also being set. If the designs devel\u00adoped as part of an advertising cam\u00adpaign are taken over by the Client as trade\u00admarks, reg\u00adis\u00adtered designs, equip\u00adment, or com\u00adpa\u00adny or goods marks, spe\u00adcif\u00adic remu\u00adner\u00ada\u00adtion must be agreed for this. The Client is solely respon\u00adsi\u00adble for the repro\u00adduc\u00adtion rights and all require\u00adments per\u00adtain\u00ading to legal form required for the ful\u00adfil\u00adment of the order. The copy\u00adright and the repro\u00adduc\u00adtion right, for any process and for any pur\u00adpose, that apply to pro\u00adpri\u00adetary sketch\u00ades, drafts, orig\u00adi\u00adnals, films and the like shall remain with IDEENHAUS, sub\u00adject to any express pro\u00advi\u00adsion to the con\u00adtrary. Print\u00ading mate\u00adri\u00adals that are needed direct\u00adly for repro\u00adduc\u00adtion (metal plates, print\u00ading plates, cylin\u00adders, clich\u00e9s, punch\u00ades, etc.) shall remain the prop\u00ader\u00adty of the entity under\u00adtak\u00ading the repro\u00adduc\u00adtion, even if they are invoiced sep\u00ada\u00adrate\u00adly. Print\u00ading mate\u00adri\u00adals that are only needed indi\u00adrect\u00adly for repro\u00adduc\u00adtion (pho\u00adtog\u00adra\u00adphy lithos, matri\u00adces, emboss\u00ading plates, etc.) shall remain the prop\u00ader\u00adty of IDEENHAUS, unless they are invoiced sep\u00ada\u00adrate\u00adly. IDEENHAUS accepts no lia\u00adbil\u00adi\u00adty for direct and indi\u00adrect print\u00ading mate\u00adri\u00adals and other items deliv\u00adered for the Client that are not request\u00aded by the Client within four weeks of com\u00adple\u00adtion of the order. Neg\u00ada\u00adtives for pho\u00adtog\u00adra\u00adphy and film orders are the prop\u00ader\u00adty of IDEENHAUS or the pho\u00adtog\u00adra\u00adph\u00ader or film-maker com\u00admis\u00adsioned by IDEENHAUS. Prop\u00ader\u00adty rights are only trans\u00adferred based on spe\u00adcif\u00adic agree\u00adments, with sep\u00ada\u00adrate remu\u00adner\u00ada\u00adtion to be agreed for this. The neg\u00ada\u00adtives are stored with\u00adout war\u00adran\u00adty. The copy\u00adright to the images also remains reserved, pro\u00advid\u00aded noth\u00ading is agreed oth\u00ader\u00adwise. IDEENHAUS accepts no lia\u00adbil\u00adi\u00adty for defects relat\u00ading to require\u00adments per\u00adtain\u00ading to legal form that the Client is oblig\u00adat\u00aded to sat\u00adis\u00adfy. Reject\u00aded cre\u00adations and ser\u00advices such as sketch\u00ades, drafts, photos and films, shall remain IDEENHAUS\u2019 prop\u00ader\u00adty for fur\u00adther use and exploita\u00adtion. Remu\u00adner\u00ada\u00adtion for drafts reject\u00aded by the Client must be paid by means of a sep\u00ada\u00adrate agree\u00adment if the Client wishes such drafts to be reserved for itself.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

8. Third-party work<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

If third-party ser\u00advices are per\u00adformed for IDEENHAUS, such as those under\u00adtak\u00aden by free\u00adlancers, IDEENHAUS must ensure they can be freely used for the Client\u2019s pur\u00adpos\u00ades. IDEENHAUS accepts no lia\u00adbil\u00adi\u00adty for work that IDEENHAUS nor\u00admal\u00adly awards to third par\u00adties, such as type\u00adset\u00adting, block, litho and print work, even if IDEENHAUS set\u00adtles this with the Client.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

9. Lia\u00adbil\u00adi\u00adty<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

The Client shall be liable for the legal valid\u00adi\u00adty of all the information pro\u00advid\u00aded by the Client, in par\u00adtic\u00adu\u00adlar with respect to trade\u00admarks, reg\u00adis\u00adtered designs, equip\u00adment, com\u00adpa\u00adny and goods descrip\u00adtions. Any result\u00ading claims made against IDEENHAUS from this are exclud\u00aded. In this instance, the Client shall indem\u00adni\u00adfy IDEENHAUS against all lia\u00adbil\u00adi\u00adty. In the event of pho\u00adto\u00adgraph and film orders, the Client shall bear the risk of issues that are not attrib\u00adut\u00adable to IDEENHAUS or the pho\u00adtog\u00adra\u00adph\u00ader or film-maker com\u00admis\u00adsioned, includ\u00ading weath\u00ader conditions during out\u00addoor shoot\u00ading, the timely pro\u00advi\u00adsion of prod\u00aducts, the pres\u00adence of props (pro\u00advid\u00aded the Client is oblig\u00aded to pro\u00adcure them), travel bans, the non-appear\u00adance of announced rep\u00adre\u00adsen\u00adta\u00adtives, and the like. In the event of a delay by models, it is imma\u00adte\u00adr\u00adi\u00adal for lia\u00adbil\u00adi\u00adty pur\u00adpos\u00ades whether the pho\u00adtog\u00adra\u00adph\u00ader or film-maker had booked the models in their own name or some\u00adone else\u2019s. If the Client does not reject the agreed ser\u00advice, the agreed remu\u00adner\u00ada\u00adtion shall be due in full once one week has elapsed. Other claims for com\u00adpen\u00adsa\u00adtion due to a refusal to reject the work remain reserved. Changes, dete\u00adri\u00ado\u00adra\u00adtions or lost goods that occur after a dead\u00adline has been set shall be borne by the Client. In the event that the Client\u2019s doc\u00adu\u00adments, prod\u00aducts, devices, sys\u00adtems and system com\u00adpo\u00adnents are stored, are to be pho\u00adtographed or are tem\u00adporar\u00adi\u00adly present on IDEENHAUS\u2019s premis\u00ades and are to be insured against fire, water, theft, etc., the Client shall be respon\u00adsi\u00adble for meet\u00ading this insur\u00adance oblig\u00ada\u00adtion. Doc\u00adu\u00adments, prod\u00aducts or devices, sys\u00adtems and system com\u00adpo\u00adnents that are stored, are to be pho\u00adtographed or are tem\u00adporar\u00adi\u00adly or per\u00adma\u00adnent\u00adly present on IDEENHAUS\u2019s premis\u00ades must be kept in an order\u00adly fash\u00adion at all times.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

10. Claims for defects<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

Com\u00adplaints regard\u00ading IDEENHAUS\u2019s ser\u00advices must be sent to IDEENHAUS in writ\u00ading within one week, start\u00ading from the date of dis\u00adpatch. Reduc\u00adtion or rec\u00adti\u00adfi\u00adca\u00adtion can be assert\u00aded, but not con\u00adver\u00adsion or com\u00adpen\u00adsa\u00adtion. Print-ready tem\u00adplates and galley proofs must be reviewed and cor\u00adrect\u00aded with\u00adout delay by the Client, who must affix its con\u00adfir\u00adma\u00adtion to them and then return them to IDEENHAUS. IDEENHAUS accepts no lia\u00adbil\u00adi\u00adty for any type\u00adset\u00adting and print\u00ading errors that occur regard\u00adless of this process. If the Client com\u00admis\u00adsions a repro\u00adduc\u00adtion com\u00adpa\u00adny direct\u00adly and this com\u00adpa\u00adny needs print\u00ading mate\u00adri\u00adals that have been designed and pro\u00adduced by IDEENHAUS for its repro\u00adduc\u00adtion work, IDEENHAUS shall be released from any lia\u00adbil\u00adi\u00adty regard\u00ading claims for defects in the final, repro\u00adduced arte\u00adfact.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

11. Pay\u00adment terms \u2013 reten\u00adtion of title<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

Remu\u00adner\u00ada\u00adtion must be paid in good time, in line with the agree\u00adments made. Reten\u00adtion of title applies to an unlim\u00adit\u00aded extent until the final pay\u00adment is made. Invoic\u00ades for place\u00adment ser\u00advices ren\u00addered are payable imme\u00addi\u00adate\u00adly. Cash dis\u00adcounts must be agreed sep\u00ada\u00adrate\u00adly. The advertiser\u2019s terms and conditions shall apply in the event of place\u00adment orders. If pre-pay\u00adment is agreed, the Client shall receive an advance invoice. The pay\u00adment on account must be received prior to the final dead\u00adline for the adver\u00adtise\u00adment or broad\u00adcast. Oth\u00ader\u00adwise, IDEENHAUS shall be enti\u00adtled to with\u00addraw from the order. If receiv\u00adables are due and are not set\u00adtled once a dead\u00adline has been set, default inter\u00adest of 2% plus the rel\u00ade\u00advant Bun\u00addes\u00adbank rate must be paid. In the event of default on place\u00adment orders, IDEENHAUS may cancel fur\u00adther exe\u00adcu\u00adtion of the order. IDEENHAUS accepts no lia\u00adbil\u00adi\u00adty for any damage the Client suf\u00adfers as a result. Sim\u00adi\u00adlar\u00adly, the Client\u2019s right of offset is exclud\u00aded in this respect.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

12. Rights of with\u00addraw\u00adal<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

In the event of cir\u00adcum\u00adstances that call into ques\u00adtion whether pay\u00adment oblig\u00ada\u00adtions will be met in a timely manner (appli\u00adca\u00adtion for bank\u00adrupt\u00adcy pro\u00adceed\u00adings, insol\u00adven\u00adcy pro\u00adceed\u00adings or repeat\u00aded enforce\u00adment actions, etc.), IDEENHAUS shall have the right to with\u00addraw from the con\u00adtract. Unpaid invoic\u00ades shall fall due for pay\u00adment with imme\u00addi\u00adate effect on with\u00addraw\u00adal from the con\u00adtract. Advance pay\u00adments may be request\u00aded for ser\u00advices not yet ren\u00addered if the Client states that fur\u00adther work shall be per\u00adformed. The agreed remu\u00adner\u00ada\u00adtion must be paid in any case, plus any ancil\u00adlary or third-party costs incurred; expen\u00addi\u00adture saved for ser\u00advices not yet ren\u00addered is paid at 50%. The place\u00adment fee incurred must be paid in each instance. If the Client can\u00adcels the order, the ser\u00advices ren\u00addered must be paid for imme\u00addi\u00adate\u00adly. In addi\u00adtion, the reg\u00adu\u00adla\u00adtion set out in the pre\u00adced\u00ading para\u00adgraph shall apply. Claims for com\u00adpen\u00adsa\u00adtion assert\u00aded against the Client due to breach of con\u00adtract remain express\u00adly reserved. Off\u00adset\u00adting against IDEENHAUS\u2019s claims is exclud\u00aded.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

13. Con\u00adfi\u00adden\u00adtial\u00adi\u00adty<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

IDEENHAUS shall treat all the information it obtains regard\u00ading the Client and its prod\u00aducts, etc., as a busi\u00adness secret entrust\u00aded to it. All IDEENHAUS employees are oblig\u00adat\u00aded to main\u00adtain con\u00adfi\u00adden\u00adtial\u00adi\u00adty. IDEENHAUS accepts no lia\u00adbil\u00adi\u00adty for damage caused by third par\u00adties or for tar\u00adget\u00aded indus\u00adtri\u00adal espi\u00adonage.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

14. Identification\/specimens<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

IDEENHAUS is enti\u00adtled to attach a com\u00adpa\u00adny-spe\u00adcif\u00adic text or code to all advertising mate\u00adri\u00adals it designs; the posi\u00adtion\u00ading and font size for this must be agreed with the Client. IDEENHAUS shall be enti\u00adtled to ten spec\u00adi\u00admen copies of all public-facing mate\u00adri\u00adals that have been designed.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

15. Pro\u00adcess\u00ading<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

On the ter\u00admi\u00adna\u00adtion of the con\u00adtrac\u00adtu\u00adal rela\u00adtion\u00adship, IDEENHAUS shall return to the Client all the doc\u00adu\u00adments \u2013 such as pho\u00adtographs, films, etc. \u2013 pro\u00advid\u00aded. IDEENHAUS shall have the right to retain such items if invoic\u00ades are out\u00adstand\u00ading. For its part, IDEENHAUS must return to the Client mate\u00adri\u00adals such as print\u00ading plates, print\u00ading blocks, etc., obtained during the con\u00adtrac\u00adtu\u00adal rela\u00adtion\u00adship, pro\u00advid\u00aded no cor\u00adre\u00adspond\u00ading agree\u00adment has been made con\u00adcern\u00ading the fur\u00adther exploita\u00adtion and use of these mate\u00adri\u00adals.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t

16. Place of juris\u00addic\u00adtion<\/h2>\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

Nurem\u00adberg is agreed as the place of ful\u00adfil\u00adment and juris\u00addic\u00adtion for all claims aris\u00ading from this con\u00adtract. This con\u00adtract shall be gov\u00aderned by the laws of the Fed\u00ader\u00adal Repub\u00adlic of Germany.
